Histori
Sejarah awal
Lions Gate Entertainment Corp. (Lionsgate) was formed in 1997 by Frank Giustra and Avi Federgreen with an investment of $ 16 million including $ 40 million from other investors including Keyur Patel and Yorkton Securities executives such as G. Scott Paterson. Giustra has just retired as CEO of Yorkton, investment bank, and Paterson when it is president. Giustra then merged Lionsgate with Toronto Stock Exchange listed Beringer Gold Corp (founded in 1986) to bring the company into a public company. Beringer's mining assets were soon sold.
Acquisitions
Lionsgate then started a series of acquisitions to get into the film industry. The company purchased a number of small production facilities and distributors, starting with CinÃÆ' à © pix Film Properties based in Montreal (renamed Lions Gate Films) and North Shore Studios (renamed Lions Gate Studios) in Vancouver, British Columbia. Mandalay Television was acquired by Lionsgate from Peter Guber for 4% of Lionsgate shares. In 1998, Lionsgate helped Guber establish Mandalay Pictures with a 45% investment in Mandalay. Lionsgate followed suit with the purchase of Jun International Movie Group, Inc. (IMG), a bankrupt film distributor previously invested by Guber and Yorktown Securities, for its film library. IMG CEO, Peter Strauss, became President of Lions Gate Entertainment, Inc. (LGE), the US parent company for US interests at Lionsgate. A subsidiary of Lions Gate Media was also formed to produce television.
After completing its first year of operation, Lionsgate had $ 42.2 million in revenue with a loss of $ 397,000. The company's stock price dropped to a low of $ 1.40. This limits the ability of corporations to make acquisitions through stock exchange. Lionsgate instead made a further acquisition of Productite Art Productions, a reality-based television production company, for $ 2.75 million by issuing three promissory convertible sheets. Giustra asks shareholders to choose to move the company's public listing from the Toronto Stock Exchange to the American Stock Exchange, along with two-for-one stock consolidation to qualify, for greater exposure that can increase the value of the stock.
In January 1999, Roman Doroniuk was named president and chief operating officer of Lionsgate, which led to corporate finance operations being moved in April to Doroniuk's office in Toronto, Ontario while company headquarters remained in Vancouver, British Columbia. Lionsgate created the US-based Avalanche Film and acquired half of Sterling Home Entertainment, both in video sales. Again, Lionsgate posted a second-year loss of $ 9.3 million with revenues of $ 78.3 million with most losses stemming from its shares in Mandalay Pictures. So in the summer, Lionsgate puts his studio for sale without a buyer. TV operation was turned into a non-networked series for more than risky network events and ended its relationship with Mandalay Television. Corporations are seeking more capital and cash by proposing initial prospectuses for the sale of preferred stock and common share warrants and credit lines of $ 13.4 million.
Lionsgate increases and new CEO
Additional acquisition funds arrived in January 2000 as an investment of $ 33.1 million from an investor group including Paul Allen, former Sony Pictures Jon Feltheimer, German broadcaster Tele-Munchen, and SBS Broadcasting SA. This caused Feltheimer to take over as CEO of Giustra so that Doroniuk passed the company. Feltheimer boosted filming including some $ 1 million films on Avalanche. However, Federgreen still remains one of the main owners of the company and is heavily involved in making all of their major films. In June, Lionsgate acquired Trimark Holdings, Inc. for about $ 50 million in stock and cash including taking $ 36 million in debt.
